Michael Varabioff
Michael employs a practical, entrepreneurial style in providing high-level corporate and commercial law advice to fast-growing companies. His clients are typically public companies who operate internationally and they span a broad range of industries including mining, oil and gas, technology, medical devices, biotechnology and financial services. He is experienced in all legal aspects of corporate organization, development and operation, including private stage structuring and finance, going public transactions such as IPOs, RTOs (reverse takeovers) and QTs (qualifying transactions), stock exchange listings, domestic and international debt and equity financing, mergers and acquisitions including take over bids, amalgamations, plans of arrangement and share and asset purchases, corporate governance, and general corporate and commercial matters. He works closely with senior management and often becomes part of his clients' executive decision-making team.
Michael is a frequent writer and lecturer at legal and industry conferences. He also serves as director or officer of several public companies, and has served on the boards of several industry organizations including the B.C. Medical Device Industry Association, the Securities Policy Advisory Committee of the BC Securities Commission the TSXV Exchange Advisory Committee and the Securities Law Subsection of the BC Branch of the Canadian Bar Association. He also worked as an Analyst at the BC Securities Commission
